Draft — to be reviewed by a lawyer specialized in privacy law before launch. Liability, billing and governing-law clauses also need review by a business and consumer-law lawyer. The French version prevails.
These terms are the agreement between [Nom légal de l'entreprise à remplir] ("UFStats", "we") and the organization or person using the service ("you"). By creating an account, you accept them on behalf of your organization and confirm you are authorized to do so. Effective date: [date d'entrée en vigueur à remplir].
1. The service
UFStats analyzes ultimate match videos uploaded by your team and produces statistics linked to video sequences. Statistics are computed by models: they may contain errors, are shown with their confidence level and can be corrected by your team. A statistic that is not reliable enough is not displayed.
2. Accounts
- Accounts are reserved for adults and people aged 14 and over. A younger player can appear on a roster without an account.
- Keep your access credentials confidential. Owners and administrators of an organization must turn on two-factor authentication; it is required for sensitive actions (export, deletion, billing, role changes).
- The organization's administrator manages members and roles and is responsible for their actions within the organization.
3. Your videos and data
- You keep all rights to the videos, rosters and data you upload.
- You grant us a non-exclusive, worldwide, royalty-free licence, limited to what is needed to host, transcode, analyze and display this content to your organization, produce statistics, ensure security and backups, and carry out your instructions (sharing, export). This licence ends when the content is destroyed under the retention policy.
- Model training: we use your videos to improve our models only if an owner or coach of the team turns it on (off by default, revocable at any time). Teams in youth mode never contribute images. Model improvements belong to us; they do not contain your videos.
- Statistics, events and trajectories remain available while your account exists; you can export them (CSV, and a JSON and CSV portability archive).
4. The right to film: your responsibility
The team or organization that uploads a video represents and warrants that it:
- has the right to film the match and upload the video (tournament or league rules, venue owner permission, signage, broadcaster agreement where applicable);
- has informed its players and, where needed, obtained their consent to be filmed and analyzed;
- for any minor under 14, has obtained the consent of the person having parental authority (UFStats provides a bilingual form template) and recorded it in the roster "consent" field; for a minor aged 14 or over, has obtained their consent under applicable rules;
- correctly declares whether the team includes minors, which turns on youth mode;
- uploads no video with uncertain rights, in particular a public broadcast or a recording taken from a platform whose terms forbid it.
UFStats does not verify these permissions and may remove content upon a well-founded notice.
5. Third parties visible in videos
Videos also show opponents, officials and spectators. You agree to:
- use opponents' individual statistics only for your team (preparation, analysis); never publish, sell or use them to target a person;
- only share publicly content you have the right to share; in youth mode, public sharing is disabled;
- promptly forward to UFStats any removal request you receive from a filmed person.
Any filmed person can ask for removal of their individual data by writing to confidentialite@ufstats.tech.
6. No facial recognition
You may not use UFStats, its exports or its images to perform facial recognition, build a database of biometric characteristics, identify spectators or track a person from one match to another without their consent. UFStats offers none of these functions.
7. Acceptable use
You may not:
- upload illegal, hateful, sexual or violent content, or content unrelated to a match or sports practice;
- try to access another team's data, bypass access controls, quotas or billing, or test security without written permission;
- scrape data at scale, resell access or use the service to train a competing product;
- use statistics to harass, discriminate or assess a person without their knowledge for purposes unrelated to sport.
We may suspend an account that breaks these rules, after notice except in an emergency.
8. Plans and billing
Paid plans are billed in advance through Stripe and renew automatically until cancelled; cancellation takes effect at the end of the current period. The Tournament pass is a one-time purchase. Quotas (matches per month, teams) and retention periods depend on the plan. Prices exclude taxes.
9. Closing the account and deletion
You can request deletion of your account in Settings > Privacy. If you are the only owner of an organization, the organization is closed and its data destroyed; a paid subscription must be cancelled first. Export your data beforehand: destruction is final.
10. Availability and liability
The service is provided "as is". We make reasonable efforts to keep it available and accurate, without guaranteeing that statistics are error-free. To the extent permitted by law, our total liability is limited to the amounts you paid in the last 12 months. Nothing in these terms limits rights that the law grants to consumers.
11. Changes and governing law
We tell you in advance about any important change. These terms are governed by the applicable laws of Québec and Canada; the courts of the judicial district of Montréal have jurisdiction, subject to mandatory rules (to be confirmed). The French version prevails.
